1. Who we are

Somera Sosyal Medya Araştırma Ölçümleme ve Analiz Anonim Şirketi ("Somera", "we", "us") provides tools to connect, moderate, and manage your authorized third party online accounts and to monitor public digital media content in line with each platform's policies.

2. Acceptance of terms

By creating a Somera account, accessing the Somera dashboard or APIs, or connecting any third party platform, you accept these Terms of Service ("Terms") and our Privacy Policy. If you use Somera on behalf of an entity, you represent that you have authority to bind that entity to these Terms.

Somera may update and change the Terms of Service from time to time without notice. Continued use of the Services after any such changes shall constitute your consent to such changes. You are responsible for regularly reviewing the most current version.

These Terms of Service include Somera's Privacy Policy. By accessing and using the Services, you are consenting to (or promising that you have obtained appropriate consent for) the collection and use of personal information by Somera in accordance with Somera's privacy policy.

Somera reserves the right, at any time, to update and change any or all of these Terms of Service, at its sole discretion, including but not limited to any fees and charges associated with the use of the Services. If Somera does so, it will post the modified Terms of Service on the Site. Continued use of the Services after any such changes have been made shall constitute your consent to such changes. You are responsible for reviewing the most current version of the Terms of Service. When Somera changes these Terms of Service, Somera will modify the "Last updated" date above.

3. Definitions and Supported Platforms

"Services": Somera websites, applications, APIs, dashboards, and related services.

"Authorized Users": Individuals you authorize to use the Services under your account.

"Customer Content": Information and data you or your Authorized Users provide to Somera for use of the Services, excluding Platform Data.

"Mentions": Information, including links, posts, and excerpts, that has been made publicly available and obtained by Somera on your behalf from the internet, and any data derived from it.

"Platform": Third party service you connect to Somera.

"Platform Data": Content and metadata retrieved from or sent to a Platform through an authorized integration, including posts, comments, reviews, messages, usernames, ids, timestamps, reaction counts, and your moderation actions.

4. Account linking and authorization

Somera never asks for or stores your Platform passwords. You authorize our apps on each Platform using OAuth or a similar authorization flow and grant only the permissions that are necessary to moderate accounts and content that you administer. You can revoke Somera's access at any time in the relevant Platform's settings.

5. Relationship with Platform terms; compliance and revocation

General acknowledgment: By connecting a platform to Somera or using any Somera feature that accesses that platform's content or data, you acknowledge and agree that your use is governed by that platform's own terms, policies, and community rules; and you further acknowledge and agree that where Somera uses that platform's APIs or SDKs, your use of Somera in connection with that platform is subject to the platform's applicable API terms, developer policies, and data use rules.

You also represent that you have the right to access and manage the Platform Data you connect to Somera, and you will not use the Services to violate platform rules or applicable law

Permissions and compliance: You acknowledge and agree that Somera requests only the permissions necessary to provide and moderate features on each platform; Somera may restrict, modify, or disable features to comply with platform terms, rate limits, branding and display requirements, and data handling rules; you agree not to use Somera in a manner that would cause Somera or you to violate any platform terms, policies, or community rules.

Revocation and account controls: You acknowledge and agree that you can revoke Somera access in your platform account settings at any time; revocation may limit or disable related Somera features.

Third party processing: You acknowledge and agree that platform providers may process data independently of Somera under their own policies and terms; Somera does not control and is not responsible for platform providers.

Conflicts: You acknowledge and agree that if there is any conflict between a platform's terms and these terms, the platform's terms govern your use of that platform, and these terms govern your use of Somera.

Scope and changes: The platforms and links above are provided for convenience only; the list is not exhaustive; this clause applies to any platform you connect to Somera, including any successors, affiliates, regional variants, or replacements of the listed platforms.

Somera requests only the permissions necessary to moderate accounts on each Platform. Somera may restrict or disable features to remain compliant with Platform terms, rate limits, and display requirements. You can revoke Somera access in your Platform account settings at any time. Platform providers may process data independently of Somera under their own policies and terms.

6. Monitoring of public content

Somera collects, indexes, and analyzes public content only as permitted by each Platform and subject to rate limits, robots rules, and display requirements. Somera does not use third party Platform content to train general purpose AI models unless both you and the Platform expressly permit this in writing.

7. Acceptable use

You will not: Attempt to circumvent Platform rules or technical limits; access or manage accounts you do not own or administer; scrape, export, or reuse content beyond what a Platform's policies or the law permit; misrepresent metrics; spam; or use the Services for unlawful, harmful, or infringing activity. Somera may suspend integrations or remove content to maintain compliance with Platform rules or legal obligations.

8. Customer responsibilities

You are responsible for: a) your Somera account security; b) the accuracy, lawfulness, and purpose of Customer Content and Platform Data you direct Somera to process; c) obtaining any consents or notices required for your use of the Services; and d) complying with all applicable laws and Platform terms.

9. Service changes and availability

Platforms may change their APIs, scopes, or enforcement at any time. Somera may modify, disable, or discontinue features that rely on third party Platforms where reasonably necessary to maintain compliance or service quality. Somera will make commercially reasonable efforts to notify you of material Service changes.

10. Fees and taxes

If fees apply, they will be set in your customer agreement or order form. Prices and taxes are exclusive of any Platform fees or carrier charges.

11. Term, suspension, and termination

Commercial terms, including any termination for convenience rights, are stated in your customer agreement or order form and may differ by customer. Somera may suspend or terminate access to the Services immediately if: a) you materially breach these Terms; b) you breach any Platform terms or policies while using the Services; or c) suspension or termination is necessary to comply with law or a Platform directive. Upon termination, Somera will delete or anonymize your data in accordance with our Privacy Policy.

12. Intellectual property

Somera and its licensors own all rights in the Services. These Terms do not transfer any Somera intellectual property to you. Between you and Somera, you own your Customer Content. You grant Somera a worldwide, non exclusive, royalty free license to host, process, and display Customer Content and Platform Data solely to provide and secure the Services and to meet legal and Platform compliance requirements.

13. Privacy

Your use of the Services is subject to our Privacy Policy, which describes how we collect, use, and protect personal data and Platform Data. Somera uses YouTube API Services and complies with applicable Google and YouTube policies as set out in the Privacy Policy.

14. Disclaimers and limitation of liability

The Services are provided "as is" and "as available". Somera disclaims all warranties to the maximum extent permitted by law. Somera is not responsible for third party Platform outages, policy changes, data accuracy, or content removed by Platforms. TO THE MAXIMUM EXTENT PERMITTED BY LAW, SOMERA'S AGGREGATE LIABILITY SHALL NOT EXCEED THE GREATER OF THE FEES PAID FOR THE SERVICES DURING THE THREE 3 MONTH PERIOD PRECEDING THE CLAIM OR ₺10,000. IN NO EVENT SHALL SOMERA BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES.

15. Governing law and venue

These Terms are governed by the laws of the Republic of Türkiye. The competent courts of İstanbul, Türkiye have exclusive jurisdiction, subject to any non waivable consumer protection rules that apply.

16. General

Assignment: You may not assign these Terms without Somera's prior written consent; Somera may assign without restriction.

Amendment: Somera may modify these Terms by posting updates on its site; continued use constitutes acceptance.

Severability: If any provision is unenforceable, the remainder stays in effect.

Notices: Somera may notify you by email or in product messages.

Waivers: Failure to enforce is not a waiver.

Nature of relationship: These Terms do not create an agency, partnership, or joint venture.

Force majeure: Neither party is liable for failure to perform due to causes beyond reasonable control.
